Definitions

In these Terms and Conditions, "Room Ready Supply LLC" ("Room Ready Supply," "RRS") refers to our company and includes any variation of this name such as Room Ready Supply, RRS, or roomreadysupply.com.

The terms "Company," "Seller," "We," "Us," and "Our" refer to Room Ready Supply LLC.

"Standard Terms of Service" ("Terms") encompass the entire agreement between You and the Company concerning your use of our Products and Services.

"Website" and "Site" refer to www.roomreadysupply.com.

"You," "Your," and "Customer" refer to the individual or business entity accessing or using our Products and Services.

"Products" refers to all commercial supply items listed on our Website and catalogs, sold in case quantities to businesses.

"Services" encompasses all features and functionalities of our Website and any other services we provide to facilitate your purchasing experience, including payment processing, customer support, and delivery coordination.

Severability

If any provision of these Terms is found unenforceable or invalid under the laws of a specific jurisdiction, that provision shall be modified or removed as necessary to comply with the law. The remaining provisions shall remain in full force and effect.

Agreement

By visiting our Website or placing an order online or by phone, you agree to these Terms. All sales are governed by these Terms. Any conflicting provisions in your purchase orders or other correspondence shall be considered null and void.

Exclusions to these Terms due to special circumstances must be made in writing and signed by authorized representatives of both parties.

Venue

Any legal action arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Washington County, North Carolina. The parties irrevocably submit to the exclusive jurisdiction of those courts and waive any objections to venue, including forum non conveniens.

These Terms shall be governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles.

Effective Date

We may update these Terms from time to time. Please review them regularly on our Website. Your continued use of our Products and Services signifies acceptance of these Terms and any changes. The version in effect at the time of your order applies to that order.

Errors and Omissions

We are not responsible for, and reserve the right to correct, technical, typographical, or other errors or omissions on our Website, printed materials, marketing, social media, or other platforms.

Prices, Fees, and Discounts

All prices are listed in U.S. dollars and sold in case quantities. Volume-tier pricing applies automatically based on the quantity of each item in your cart. All prices, fees, discounts, and promotions are subject to change without prior notice.

In the event of a pricing error on our Website, we will notify you before shipment and give you the choice of proceeding at the corrected price or cancelling for a full refund.

Order Acceptance and Payment

Your order is confirmed when your payment is accepted. At that point a binding purchase agreement exists between you and Room Ready Supply LLC. You will receive an order confirmation by email with your RRS order number — use that number for all correspondence about the order.

We accept major credit/debit cards and ACH bank transfer, processed securely through Stripe. Payment is due in full at the time of order. New customers pay at time of purchase; established customers with on-time payment history may be extended net-30 terms at our discretion.

We reserve the right to refuse or cancel any order, including after payment, in cases of suspected fraud, pricing error, or product unavailability. If we cancel a paid order, you receive a full refund to your original payment method.

Shipping and Delivery

All orders ship direct from our supplier warehouses via commercial carrier. Room Ready Supply does not offer local delivery or warehouse pickup.

• Order handling: confirmed orders are transmitted to the supplier within 1–2 business days after payment is confirmed. Transit time is additional and varies by destination and shipping method.
• Delivery is calculated for every order and shown in your checkout total before you pay — at any order weight. You pay the full total (items, tax, and delivery) at checkout. There is no separate shipping invoice and no pay-later delivery charge.
• Delivery estimates may be affected by carrier delays, area conditions, weather, holidays, or other circumstances beyond our control.

Risk of loss transfers to you when the carrier takes possession of the shipment.

Sales and Use Taxes

Room Ready Supply LLC currently collects sales tax on orders shipped to North Carolina addresses, as required by law. If we establish nexus in additional states, we will collect there as required. Tax-exempt customers must provide a valid exemption certificate before ordering; we cannot refund tax collected on orders placed without one on file.

Limited Quantities and Order Cancellation

All Products are subject to availability at our supplying warehouses. We reserve the right to refuse any order, cancel any backorder, and discontinue any product at any time. If an item becomes unavailable after your order is confirmed, we will notify you promptly and refund that portion of your order. We will substitute an equivalent product only with your prior approval.

Discounts, Promotions, and Offers

We reserve the right to revoke, modify, or discontinue any discounts, promotions, or offers at our sole discretion without prior notice. Each promotion is standalone and cannot be combined with any other promotion, discount, or offer unless stated otherwise.

Warranties

All Products are provided on an "AS IS" and "AS AVAILABLE" basis. There are no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. By purchasing our Products, you agree to release the Company from any and all liability arising from the purchase or use of the Products.

For items covered under a manufacturer's warranty, claims must be addressed directly with the manufacturer. Contact us if you have questions and we will point you in the right direction.

We are not liable for delays or damages caused by shipping carriers or their drivers.

Limitation of Liability

To the fullest extent permitted by law, the Company's total liability for any claim arising from your use of our Products or Services shall not exceed the amount you paid for the applicable Products. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, whether in contract, tort, or otherwise.

Damages and Shortages

Inspect your shipment on delivery. Report any damage, shortage, or incorrect items to us within 5 business days of delivery with photos, so we can file the carrier claim. For concealed damage discovered on opening, notify us within 5 business days of receipt. Claims reported after this period may not be honored.

Cancellations, Returns, and Refunds

• Before shipment: you may cancel any order for a full refund.
• After shipment: case-quantity commercial products are not returnable unless defective or shipped in error. Defective or incorrect items must be reported within 14 days of delivery with photos; we will replace or refund at our discretion.
• Custom or special orders are non-returnable. You accept full responsibility for all costs of refused or cancelled custom orders.
• Refused or cancelled orders may be subject to return freight charges.
• Refunds are issued to the original payment method within 10 business days of approval.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorized use. We are not liable for stolen credentials or unauthorized purchases made with them.

Prohibited Activities

Prohibited activities include, but are not limited to: using the Site for illegal purposes; sending spam; data scraping; disclosing another user's personal information; misusing discounts or promotions. We reserve the right to take legal action and claim damages for prohibited activities or misuse of data.

Suspension and Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

Force Majeure

The Company shall not be held liable for failure or delay in performing its obligations due to events beyond its control, including acts of nature, war, terrorism, government orders, embargoes, strikes, power or telecommunications failures, transportation disruptions, pandemics, or any other events beyond our reasonable control.

Arbitration

Any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Washington County, North Carolina, by a single arbitrator. Judgment on the award may be entered in any court having jurisdiction. Each party bears its own costs; arbitrator fees are shared equally unless the arbitrator rules otherwise. Proceedings are confidential. Disputes proceed on an individual basis only — no class, collective, or representative actions.

Waiver of Jury Trial

The parties voluntarily, irrevocably, and unconditionally waive any right to a trial by jury in any action arising out of or relating to these Terms.

No Partnership or Joint Venture

These Terms do not create any partnership, joint venture, agency, employment, or fiduciary relationship between the parties. Neither party has authority to bind the other.

Privacy

Our collection, use, and protection of your personal information are governed by our Privacy Policy, which forms part of these Terms. We do not sell your personal data. We may share it with trusted third parties (payment processors, carriers, analytics providers) as needed to complete your order.
